Terms & Condition for Clients

Consultant recommendations are made based on the client's project requirements, technical expertise, industry experience, and consultant availability. MITSUN Global reserves the right to recommend or replace consultants where necessary.

The client shall provide complete and accurate project information, timely access to relevant documents, personnel, and project sites, and all reasonable cooperation required for successful delivery of the engagement.

Commercial terms, payment schedules, taxes, and reimbursable expenses shall be governed by the applicable Proposal, Scope of Work (SOW), or Engagement Agreement. Payments must be made within the agreed timelines.

Both parties shall maintain the confidentiality of all technical, commercial, financial, and proprietary information exchanged during the engagement. Confidential information shall not be disclosed to any third party without prior written consent unless required by applicable law.

Upon receipt of full payment, project-specific deliverables prepared for the client shall become the property of the client, unless otherwise agreed in writing. MITSUN Global and its consultants retain ownership of their pre-existing methodologies, templates, tools, and intellectual property.

Clients shall not directly engage, employ, or contract with any consultant introduced by MITSUN Global without prior written consent during the engagement and for a period of twelve (12) months following its completion.

The client agrees to comply with all applicable laws, regulations, health & safety requirements, and ethical business practices throughout the engagement.

MITSUN Global shall exercise reasonable care in providing its services. However, MITSUN Global shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of its services. Any liability shall be limited to the fees paid for the relevant engagement, to the extent permitted by law.

Either party may terminate an engagement in accordance with the applicable Engagement Agreement or Scope of Work. All payment obligations and confidentiality commitments shall survive termination.

These Terms & Conditions shall be governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

By submitting a project request, signing a proposal, issuing a purchase order, or engaging MITSUN Global's services, the client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
